Constitution of The Didcot-Meylan Twinning Association

Title

The organisation shall be called The Didcot-Meylan Twinning Association.

Objectives of the Organisation

a) To promote and maintain the friendship between residents of the towns of Didcot and Meylan and of their immediate surroundings.
b) To organise exchanges of cultural and sporting activity groups whereby friendly competition and discussion of subjects of common interest are encouraged.
c) To promote and maintain industrial, business and commercial links between Didcot and Meylan and of their immediate surroundings.
d) To co-operate with its counterpart organisation in Meylan to foster social contact of individuals and groups interested in the objectives of the committee.

Management

a) Day-to-day management of the Association shall be carried out by the Didcot-Meylan Twinning Committee.
b) The officers of the Didcot-Meylan Twinning Committee will be the Chairperson, the Secretary, the Treasurer & Membership Secretary and the Sponsorship Secretary.
c) There will also be a maximum of two ordinary committee members.
d) The Committee have the powers to co-opt members of the Association into the Committee.
e) The Committee shall meet at least four times each year.
f) The term of office of the Chairperson and other officers shall be limited to one year. All officers shall be eligible for re-election.

Main Responsibilities of the Committee

a) Maintain liaison with the Committee's counterpart organisation in Meylan.
b) Maintain liaison with Didcot Town Council.
c) Organise exchange visits for whatever community interest groups that request them.
d) Encourage exchange visits and dialogue between industrial and commercial interest groups.
e) Organise travel arrangements for official exchanges from Didcot to Meylan.
f) Provide programmes of events for visitors from Meylan to Didcot on official exchanges.
g) Produce and distribute agendas and minutes of meetings.
h) Manage the financial capital of the Association.
i) Produce an annual financial balance sheet for the Annual General Meeting.
j) The Committee shall meet regularly. It will meet with its counterpart organisation in Meylan when appropriate.
k) A quorum for the Committee or any sub-committee shall be the majority of its members.

Finance

a) The capital of the Association shall consist of:
i) local authority grants
ii) grants and sponsorships from other organisations
iii) donations and any other casual benefits.
b) The financial year will run from 1st April to the 31st March each year.
c) Cheques drawn under the Association's account shall be signed by the Treasurer or Secretary and one of two other named members.
d) Auditors shall be appointed at the Annual General Meeting.

Annual General Meetings

a) The Annual General Meeting shall be held in June to receive reports, approve the balance sheet and elect the Committee for the following year.
b) Suggested changes to this Constitution or its rules must be made, in writing, to the Secretary of the Committee no less than fourteen days before the date of the Annual General Meeting.
c) Nominations for the Officers and Committee of the Association can be made from the floor at the Annual General Meeting.
d) The Annual General Meeting shall be open to the public.

Extraordinary General Meetings

  An Extraordinary General Meeting must be called for, in writing, by eleven members of the Association, giving notice of at least 21 days.

Dissolution

  In the event of the dissolution of the Association, the assets, after all the liabilities have been met, will be used for purposes decided at an Extraordinary General Meeting of the Association.
